CLIENT AGREEMENT

I, , have enrolled in the Mind-Full Psychedelic Retreat event offered through The Mind-Full Clinic inc. Nutritional Consulting. 

I understand that The Mind-Full Clinic is served by Jiordana Saade, CNP, C.Ht (“Jiordana”). Jiordana is a Certified Nutritional Practitioner and Hypnotist who does not dispense medical advice nor prescribe medical treatment. Rather, she provides education through The Mind-Full Clinic to enhance my knowledge of health as it relates to diet, lifestyle, psychology and dietary supplements.

I recognize that the the recommendations Jiordana provides are not a substitute for the diagnosis, treatment or care of disease and health concerns by a medical provider or psychologist, and that none of the recommendations she makes are meant to replace the advice of a medical doctor.

Nutritional or lifestyle evaluations or tests provided by The Mind-Full Clinic is not intended for the diagnosis of disease. Rather, such evaluations are intended as a guide to developing an appropriate health-supportive program for me, and to monitor my progress in achieving my personal goals. Any information I receive as a result of any such evaluations will not release the advice of a qualified health care practitioner.

I , confirm that I have been advised by The Mind-Full Clinic to discuss any such information and/or recommendations with a medical doctor or licensed health care provider. I  acknowledge that I am responsible for my own actions.

I,  agree that it is my sole responsibility to contact my medical doctor to obtain approval for participation in the Program if I am enrolling for health reasons.

I hereby agree to disclose all medical conditions to The Mind-Full Clinic. I agree to promptly inform The Mind-Full Clinic of any changes in my medical condition and treatments.

By signing this contract, I confirm that I have been made aware of ALL payment requirements of the event and hereby agree to comply with all such terms. I understand that the total event fee is $10,997 pay in full USD or $1832 for six months USD. The Total Fee shall be paid in full prior to the beginning of the event. There will be NO REFUNDS for Mind-Full Psychedelic Retreat

I understand that any payments I make to The Mind-Full Clinic are non-refundable.

I agree to hold harmless and indemnify Jiordana Saade, CNP, The Mind-Full Clinic inc, and its officers, directors, agents, representatives, affiliates and successors from any liability whatsoever resulting from my participation in the event. I accept the risk of any decision, action or outcome based on my choice to enrol in the event. I acknowledge that expectations and results from the event vary among individuals and that each individual may not receive the same benefit.

Terms: 

The services to be provided by the Mind-Full Clinic to the Client are nutritional consulting. Hypnotherapy and Mindset coaching, which is not medical advice, therapy or counselling. Coaching topics may address specific personal projects, mental health, or general conditions in the Client’s life or profession. 

1. Client is aware that the The Mind-Full Clinic inc, Nor Jiordana ("Practitioner") does not solve medical issues nor treat disease and is therefore not a replacement for client’s therapist or physician. If Client is presently under any form of psychiatric care or specialized medical supervision, Client is to inform Practitioner prior to working together.
2. PAYMENT. The Client will make payment via the Website or other agreed upon method as outlined on the Website and chosen by the Client below: 
   6 monthly payments of $1832USD.
   or one-time payment of $10,997 USD
3. So that Client is fully invested in this event, no refunds will be issued. Client understands that Client is responsible for all payments whether or not Client is fully participating in the event. No exceptions will be made in this matter and the Practitioner reserves the right to take legal action to collect payment.
4. The Client shall not make any chargebacks to the Company’s account. The Client shall pay for any fees associated with recouping payment, including but not limited to, collections fees and attorneys’ fees.
5. DISCLAIMERS. By participating in consulting services and the event, Client acknowledges that Jiordana Saade is not a psychologist, therapist, attorney, or financial advisor, and coaching does not replace the care of other professionals. Coaching is in no way to be construed or substituted as psychological counseling or any other type of therapy or advice.
6. CLIENT RESPONSIBILITY; NO GUARANTEES. Client acknowledges that the Practitioner has not and does not make any representations as to a future outcome of any kind that may be derived as a result of the event. Client accepts and agrees that Client is 100% responsible for results. The Practitioner makes no representations, warranties or guarantees verbally or in writing regarding Client’s performance.

The Practitioner may provide the Client with information relating to products that the Practitioner believes might benefit the Client, but such information is not to be taken as an endorsement. The Practitioner is not responsible for any adverse effects or consequences that may result, either directly or indirectly, from any information or coaching provided.

The Practitioner may provide Client with third-party recommendations for such services as acupuncture, spiritual guidance, photography, health, or other related services. Client agrees that these are only recommendations and the Practitioner will not be held liable for the services provided by any third-party to the Client. The Practitioner is not responsible for any adverse effects or consequences that may result, either directly or indirectly, from any information or services provided by a third-party.

Any testimonials, earnings, or examples shown through Practitioner's website, programs, and/or services are only examples of what may be possible for Client. There are no assurance as to any particular outcome based on the use of Practitioner's event. Client acknowledges that Practitioner has not and does not make any representations as to the future weight loss, reversal of symptoms or any other outcome of any kind that may be derived as a result of use of participation in the event.

1. CONFIDENTIALITY. This Agreement is considered a mutual non-disclosure agreement. Both Parties agree not to disclose, reveal or make use of any information learned by either party during discussions. The Practitioner acknowledges that all information provided by Client will be kept strictly confidential, as permissible by law. Client acknowledges that any information shared in a group setting will not be considered confidential. Client acknowledges that the Practitioner may share confidential information or coaching sessions with Practitioner's contractors or representatives solely for the purpose of fulfilling the obligations of this Agreement. Confidential Information includes, but is not limited to, information disclosed in connection with this Agreement, and shall not include information rightfully obtained from a third party. Both Parties shall keep all Confidential Information strictly confidential by using a reasonable degree of care, but not less than the degree of care used by safeguarding the Parties own confidential information. The obligation of the Parties hereunder to hold the information confidential does not apply to information that is subsequently acquired by either Party from a third party who has a bona fide right to make such information available without restriction. Both Parties agree that any and all Confidential Information learned as of the date of purchase shall survive the termination, revocation, or expiration of this Agreement.
2. MEDIA & TESTIMONIAL RELEASE. Company may take photographs, videos, audio recordings, or other recordings during Services that Coach and Company may use for future commercial or non-commercial purposes. Client agrees and understands that by participating in the Services, Client is consenting to being recorded and photographed and to the use of Client’s likeness, writing, and voice in any media in perpetuity by Company for whatever purpose as Company sees fit.
3. INTELLECTUAL PROPERTY RIGHTS. In respect of the documents specifically created for the Client as part of this Agreement, the Practitioner and Company maintain all of the copyright, other intellectual property rights and any other data or material used or subsisting in the Material whether finished or unfinished. Client receives one license for personal use of any content provided by the Practitioner. Nothing in this Agreement shall transfer ownership of or rights to any intellectual property of the Practitioner and/or Company to the Client, nor grant any right or license other than those stated in this Agreement. Client also agrees that any testimonials provided to the Practitioner will be made public and be utilized for marketing purposes.
4. DISCLAIMER OF WARRANTIES, NO GUARANTEES. The event and related services provided to the Client by the Practitioner under this Agreement are provided on an “as-is” basis, without any warranties or representations express, implied or statutory; including, without limitation, warranties of quality, performance, non-infringement, merchantability or fitness for a particular purpose. Company makes no representations, warranties or guarantees verbally or in writing regarding Client’s performance. Client understands that because of the nature of the program and extent, the results experienced by each client may significantly vary. By signing the Agreement, Client acknowledges there is an inherent risk of loss of capital and there is no guarantee that Client will reach their goals as a result of participation in the Mastermind. Company makes no guarantee other than that the services offered in this event shall be provided to Client in accordance with the terms of this Agreement.
5. INDEMNIFICATION. Client agrees to indemnify and hold harmless the Company, Practitioner, its affiliates, and its respective officers, directors, agents, employees, and other independent contractors from any and all claims, demands, losses, causes of action, damage, lawsuits, judgments, including attorneys’ fees and costs, arising out of, or relating to, Client’s participation and/or action(s) under this Agreement. Client agrees to defend against any and all claims, demands, causes of action, lawsuits, and/or judgments arising out of, or relating to, the Client’s participation under this Agreement, unless expressly stated otherwise by Company, in writing.
6. NON-DISPARAGEMENT. The Parties agree and accept that the only venue for resolving a dispute shall be in the venue set forth herein below. The Parties agree that they shall not engage in any conduct or communications with a third party, public or private, designed to disparage the other. Client shall not make any false, disparaging, or derogatory statement in public or private regarding the Coach or Practitioner Company, its employees, or agents. The Practitioner shall not make any false, disparaging, or derogatory statements in public or private regarding Client and its relationship with the Company.
7. DISPUTE RESOLUTION. If a dispute is not resolved first by good-faith negotiation between the parties to this Agreement, any controversy or dispute to this Agreement will be submitted to the American Arbitration Association. The arbitration shall occur within ninety (90) days from the date of the initial arbitration demand and shall take place in Toronto, Ontario or via telephone. The Parties shall cooperate in exchanging and expediting discovery as part of the arbitration process and shall cooperate with each other to ensure that the arbitration process is completed within the ninety (90) day period. The written decision of the arbitrators (which will provide for the payment of costs) will be absolutely binding and conclusive and not subject to judicial review, and may be entered and enforced in any court of proper jurisdiction, either as a judgment of law or decree in equity, as circumstances may indicate.
8. ATTORNEYS’ FEES. If either Party brings an action to enforce their rights under this Agreement, the prevailing Party may recover its expenses (including attorneys' fees) incurred in connection with the action and any appeal from the losing Party.
9. GOVERNING LAW AND SEVERABILITY. This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada regardless of the conflict of laws principles thereof. Should any provision of this Agreement be or become invalid, illegal, or unenforceable under applicable law, the other provisions of this Agreement shall not be affected and shall remain in full force and effect.
10. GOOD FAITH. Each party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in the negotiation, execution, delivery, performance and any termination of this Agreement.
11. ENTIRE AGREEMENT. This Agreement contains the entire agreement between the parties and supersedes all prior agreements between the parties, whether written or oral. No representations, inducements, promises, or agreements which are not embodied herein shall be of any force or effect. This Agreement shall not be modified, amended, varied, waived, explained, added to, extended, changed in any way, except by a written instrument executed by a person authorized to execute such an instrument on behalf of both the Client and the Practitioner.

The Mind-Full Clinic shall not release your personal information to others, unless it is necessary to obtain advice from other health care practitioners, or by a lawyer in court in order to better assist you.

I HEREBY AFFIRM THAT I HAVE READ, AGREE AND FULLY UNDERSTAND THE ABOVE STATEMENTS.
